1. Agreement

These Delivery Operator Terms supplement the General Terms and apply to every approved Delivery Operator. Commercial details such as the applicable Platform Fee, settlement method, and specific service area may be stated in a Delivery Operator Commercial Schedule.

2. Operator Eligibility and Verification

  • The Operator must have legal capacity and all business registrations, permits, tax registrations, local authority approvals, and other authorizations required for the delivery business it actually operates.
  • Provide accurate legal/business name, owner/authorized representative, geographic address, mobile number, email, tax details, and verification documents requested by TindaNation.
  • If the Operator personally drives, the Operator must also satisfy the Rider requirements applicable to drivers.
  • The Operator must promptly update expired, suspended, revoked, or materially changed permits, registrations, insurance, or contact information.

3. Riders and Operator Responsibility

The Operator may engage or manage Riders subject to applicable law. The Operator is responsible for ensuring each Rider assigned to a TindaNation Order is properly identified, authorized, trained for the relevant delivery, and compliant with licence, vehicle, safety, conduct, and document requirements.

The relationship between the Operator and its Riders is determined by their actual arrangement and applicable law. TindaNation does not become a Rider’s employer merely because the Rider uses the Platform or receives an Order through an Operator, subject to the actual circumstances and applicable law.

4. Service Areas and Availability

The Operator may configure or agree to specific Cities/Barangays or other service areas supported by the Platform. The Operator must keep availability and service-area information reasonably current. TindaNation may restrict assignments outside an approved service area or when required documents are not current.

5. Delivery Fees and Customer Charges

The Operator may receive the delivery fee shown to the Customer according to the applicable arrangement. No Operator or Rider may impose undisclosed cash surcharges, hidden fees, or off-platform charges on a Customer or Merchant. Any lawful additional fee must be authorized and disclosed through TindaNation before it becomes payable.

6. TindaNation Platform Fees and Operator Wallet

The Operator must pay the Platform Fee specified in the applicable Commercial Schedule or Platform fee record. Where TindaNation uses a prepaid Operator Wallet, completed or otherwise chargeable Orders may result in deductions according to the disclosed fee rules. The Operator is responsible for maintaining sufficient balance when prepaid funding is required for continued use.

TindaNation must provide a reasonably accessible record of Operator wallet transactions or Platform Fee charges. A disputed deduction should be raised promptly through the internal complaint process.

7. Dispatch and Order Acceptance

Orders may be offered or assigned using the dispatch mode configured for the Operator, such as manual assignment, round-robin, first-acknowledge, or another disclosed method. The Operator must not manipulate Rider accounts or order acknowledgements to defeat dispatch rules.

Once an Order is accepted, the Operator must make reasonable efforts to complete it safely and promptly, subject to cancellation, safety, Merchant readiness, Customer availability, weather, road conditions, emergencies, and other legitimate circumstances.

8. Custody, Handling, and Delivery

  • Ensure Riders protect goods from avoidable loss, contamination, tampering, spillage, crushing, excessive heat, or other damage during custody.
  • Use appropriate delivery equipment for the nature of the goods, including insulated bags or other protective equipment when reasonably required.
  • Follow lawful Merchant handling instructions and Customer delivery instructions that do not create an unsafe or unlawful condition.
  • Orders must not be opened, consumed, substituted, or tampered with except where necessary for a lawful inspection or as expressly authorized by the Merchant/Customer and Platform.
  • Upon failed delivery, follow the Platform’s return, contact, evidence, and settlement process.

9. Payment Handling

When an Order requires the Rider/Operator to pay the Merchant or collect money from the Customer, the Operator is responsible for accurate cash handling, reconciliation, and remittance within its Rider operation. The Operator must ensure Riders do not retain funds beyond the authorized arrangement or alter prices/receipts.

10. Safety and Incidents

  • Operators must require Riders to comply with traffic laws, licensing rules, vehicle safety requirements, and lawful helmet/protective-equipment requirements.
  • Riders must not drive under the influence of alcohol, dangerous drugs, or substances that impair safe driving.
  • Accidents, lost goods, serious delays, theft, threats, harassment, suspected illegal goods, or other material incidents must be reported through TindaNation and to appropriate authorities when required by law or reasonably necessary for safety.
  • TindaNation may temporarily suspend an Operator/Rider from new Orders while a serious safety or fraud incident is investigated.

11. Prohibited and Restricted Deliveries

The Operator must ensure Riders refuse delivery of prohibited goods and comply with all regulated-product conditions, including age verification where applicable. A Rider must not be penalized by the Operator for a good-faith refusal required by law, safety policy, or TindaNation’s Prohibited and Restricted Products Policy.

12. Professional Conduct and Customer Privacy

The Operator must ensure Riders treat Customers and Merchants respectfully and use personal information only for the active delivery, legitimate support, safety, or legal compliance. Contact details, addresses, chat content, photos, and delivery information must not be used for unrelated solicitation, harassment, or disclosure.

13. No Bypass of TindaNation-Originated Orders

An Order initiated or assigned through TindaNation must remain recorded and completed through the authorized Platform process. The Operator and its Riders must not divert that Order off-platform to conceal a transaction, avoid an agreed Platform Fee, or defeat safety/record controls. This clause does not prohibit the Operator or Riders from performing unrelated work outside TindaNation.

14. Records and Cooperation

The Operator must preserve reasonable delivery, payment, incident, Rider authorization, and permit records relevant to active disputes or legal requirements and cooperate with lawful TindaNation investigations, government orders, customer redress, and insurance claims.

15. Independent Business Relationship

The parties intend an independent commercial relationship. The Operator generally controls its Riders, staffing, schedules, lawful methods, vehicles and equipment, and business operations, subject to the service standards necessary to fulfill accepted Orders and applicable law. TindaNation provides the technology platform and does not become the Operator's employer, agent, or representative merely because the Operator uses the Platform or receives Orders through it. Likewise, the Operator is not an employee, agent, or representative of TindaNation merely by participating in the Platform. Contract labels do not override the actual legal relationship or applicable Philippine law.

16. Liability and Indemnity

Subject to applicable law, the Operator is responsible for losses and third-party claims caused by its or its Riders’ actionable negligence, theft, tampering, unsafe handling, unlawful conduct, cash misappropriation, privacy misuse, or violation of delivery restrictions. The Operator will indemnify TindaNation to the extent a third-party claim is caused by the Operator’s actionable breach or misconduct, except to the extent the loss was caused by TindaNation’s own fault or a liability imposed on TindaNation by law.

17. Suspension, Termination, and Outstanding Obligations

The Operator may stop using TindaNation subject to completing or properly transferring/cancelling accepted Orders and settling valid accrued Platform Fees or other expressly agreed charges. TindaNation may suspend or terminate for fraud, unsafe operations, serious/repeated Rider misconduct, false documents, prohibited deliveries, hidden charges, non-payment of agreed fees, or material/repeated violations. No “termination fee” applies unless expressly stated in the accepted Commercial Schedule and valid under applicable law.
