1. Agreement and Merchant Status

These Merchant Terms supplement the General Terms of Use. By registering or continuing as an approved Merchant, you agree to comply with these terms, applicable law, the Prohibited and Restricted Products Policy, the Cancellation/Refund Policy, and TindaNation verification requirements.

2. Eligibility and Verification

  • The Merchant must be legally capable of operating the business and entering contracts in the Philippines.
  • Provide the true legal/business name, owner or authorized representative, geographic address, mobile/landline number, valid email, tax information, business registration, and permits/licences reasonably required for the Merchant’s goods/services.
  • Provide at least the merchant-identification information required by applicable e-commerce law and maintain it accurately and promptly update changes.
  • Maintain the E-Commerce Philippine Trustmark or other online-business registration required by current DTI rules where applicable to the Merchant.
  • TindaNation may verify documents directly or through lawful verification methods and may re-verify periodically or when risk indicators arise.

3. Merchant Independence

The Merchant operates its own business and controls its products, staff, inventory, preparation methods, business hours, lawful pricing decisions, and compliance obligations. The parties intend an independent commercial relationship, subject to applicable law. Nothing here authorizes the Merchant to bind TindaNation or represent itself as TindaNation’s employee, branch, franchisee, or legal agent.

4. Product and Service Listings

  • Listings must truthfully state the product/service name or brand, price, description, condition where relevant, quantity/size, and other material information required by law or TindaNation.
  • Images must reasonably represent the product. Do not use misleading photos, counterfeit branding, fake reviews, hidden qualifiers, or material omissions.
  • Only list goods/services the Merchant is legally permitted and reasonably able to provide.
  • Keep availability and prices current. Repeated stale, unavailable, or materially inaccurate listings may lead to warning, suspension, or delisting.
  • All taxes and mandatory charges that must be disclosed to the Customer should be included or clearly disclosed before Order confirmation. Hidden charges are prohibited.

5. Product Legality, Authenticity, and Intellectual Property

The Merchant is responsible for ensuring that all listed products are lawful, authentic, non-stolen, non-counterfeit, non-infringing, and compliant with all applicable permits, standards, labeling, safety, age, and regulatory requirements. The Merchant must have the right to use all names, logos, photos, descriptions, and other listing content it submits. The Merchant must exercise reasonable due diligence when creating and maintaining listings and is responsible, to the extent arising from its products, listings, or conduct, for resulting legal issues, claims, or disputes, subject to applicable law.

6. Food Safety and Packaging

  • Food must be fit for sale, properly prepared, clean, protected from contamination, stored at appropriate conditions, and handled in accordance with applicable food-safety and local health requirements.
  • Food and other sensitive goods must be packaged and sealed appropriately for the nature of the product and expected delivery process.
  • The Merchant must disclose material allergen or ingredient information where required by law or where the Merchant represents that such information is available.
  • The Merchant is responsible for the condition and completeness of goods until proper handover to the authorized Rider/Operator, except where a defect or problem arises from later delivery handling.

7. Order Acceptance and Fulfilment

  • Prepare accepted Orders accurately and within the represented preparation time as reasonably practicable.
  • If an item is unavailable, promptly update the Platform and use the authorized cancellation/substitution/price-adjustment process.
  • Do not substitute materially different goods or increase price outside the Platform workflow without Customer authorization where required.
  • Provide the Rider with the correct Order and any receipt, lawful handling instruction, or required delivery documentation.
  • Do not release an Order to an unauthorized person when the Platform identifies the assigned Rider/Operator.

8. Pricing and Store-Price Adjustments

The Merchant must not apply hidden charges. If a Merchant business model involves an actual-store-price check, weight-based price, or another post-order adjustment, the Merchant must use TindaNation’s approved adjustment process and provide sufficient support for the change. A higher payable amount must not be imposed without Customer acknowledgement where required by the Platform or law.

9. Payments, Receipts, and Taxes

The Merchant is responsible for receiving payment according to the Order’s displayed arrangement and for issuing any invoice/receipt or sales documentation required by law. Where a Rider pays or advances funds to the Merchant, the Merchant must accurately acknowledge payment. TindaNation does not guarantee payment for a Merchant’s goods except where a separate written payment service expressly says otherwise.

10. Returns and Refunds

The Merchant is primarily responsible for product-related refunds, replacements, returns, and other remedies arising from product defect, spoilage, wrong item, material misdescription, legal nonconformity, or Merchant cancellation, subject to applicable law and the Cancellation/Refund Policy. The Merchant must cooperate with reasonable evidence review and not impose a blanket “no return, no exchange” rule that defeats mandatory consumer rights.

If an age-restricted delivery is lawfully refused and the Rider/Operator has already paid the Merchant, the Merchant must accept return and refund the amount where required by law, the applicable policy, or the agreed transaction arrangement, provided the goods are returnable and have not been tampered with or damaged by the Rider/Customer.

11. Regulated and Restricted Goods

The Merchant must not list a regulated category until TindaNation has enabled it and the Merchant has submitted the permits/licence information and other evidence required by law and TindaNation. The Merchant must follow category-specific sale, advertising, age-verification, labelling, tax-stamp, floor-price, health-warning, or other restrictions. TindaNation may prohibit a category even when sale would otherwise be lawful.

12. Delivery Handover and Responsibility

The Merchant remains responsible for the legality, authenticity, quality, preparation, accurate quantity, proper packaging, and condition of all products before handover. The Merchant must ensure that goods listed and sold comply with applicable laws, permits, standards, labeling, safety, age, and regulatory requirements and that no unlawful, counterfeit, stolen, or infringing items are offered through the Platform.

Once the correct and properly packaged Order is accepted by the authorized Rider or Delivery Operator, responsibility for loss, damage, or deterioration caused by subsequent negligent handling or transport generally shifts to the responsible Rider or Delivery Operator, subject to the available evidence and applicable law.

TindaNation provides the technology platform that facilitates transactions and delivery coordination. To the fullest extent permitted by law, and except to the extent caused by TindaNation's own actionable fault or a responsibility imposed on TindaNation by law, TindaNation is not responsible for:

  • unlawful, defective, spoiled, counterfeit, or non-compliant goods listed or sold by a Merchant;
  • a Merchant's failure to satisfy its legal, regulatory, or contractual obligations; or
  • negligent handling, delay, loss, or damage caused by a Rider or Delivery Operator after accepting custody of an Order.

This allocation of responsibility does not remove or reduce any statutory duty, remedy, or liability that applicable law does not permit TindaNation or another party to exclude or limit.

13. Customer Service and Complaints

Respond reasonably to product questions, unavailable items, substitutions, refund requests, safety concerns, and complaints assigned to the Merchant. Preserve relevant receipts, photos, preparation records, and communications when a dispute is active.

14. Data Privacy and Customer Information

Use Customer information only for fulfilling the Order, providing legitimate support, complying with law, and other purposes authorized by the Privacy Policy. Do not copy Customer phone numbers, addresses, chat content, or order data into unrelated marketing lists without a lawful basis and required consent.

15. Platform Fees

No Merchant fee applies unless TindaNation expressly discloses and the Merchant agrees to the fee in an applicable fee schedule, dashboard, amended terms, or separate agreement. TindaNation may introduce or change Merchant fees prospectively with appropriate notice and acceptance where required. Existing accepted Orders will not be retroactively repriced by a later fee change.

16. Enforcement and Takedown

TindaNation may review, reject, hide, suspend, or remove listings and may suspend Merchant access for unlawful, unsafe, dangerous, counterfeit, infringing, misleading, unverified, repeatedly unavailable, or otherwise prohibited goods/services, or when required by a competent authority. Serious safety risks may be acted on immediately.

17. Merchant Liability and Indemnity

Subject to applicable law, the Merchant is responsible for claims, losses, refunds, penalties, and damages caused by its unlawful products, false listings, product defects, food-safety failures, infringement, fraud, tax/permit violations, or breach of these Merchant Terms. The Merchant will indemnify TindaNation against third-party claims to the extent caused by the Merchant’s actionable breach, negligence, wilful misconduct, or unlawful conduct, except to the extent the loss was caused by TindaNation’s own fault or a liability that law places on TindaNation.

18. Suspension and Termination

TindaNation may suspend or terminate a Merchant for material or repeated violations, fraud, prohibited goods, serious customer harm, required permits expiring or being revoked, false verification information, non-payment of agreed fees, or failure to comply with lawful orders. Outstanding refunds, fees, disputes, document-preservation duties, and other accrued obligations survive termination.

19. Complaints, Law, and Contact
